These terms and conditions govern the purchase and use of Vahetus, the cloud time tracking service provided by Humanos Tech OÜ, with registered address at Meistri tn 6, Mustamäe linnaosa, Tallinn, Harju maakond, 13517, Estonia, registry code 17179670 and VAT number EE102831229 (“Humanos Tech”, “we” or “us”).
1. Definitions
- Service: the Vahetus application and its features, accessed through a web browser.
- Client: the company or professional that purchases the Service for its business or professional activity.
- Users: the people to whom the Client grants access to the Service, with the role of Super Admin, account manager or freelancer.
- Agreement: the commercial proposal accepted by the Client, these terms, the Acceptable use policy and the data processing agreement.
2. Purchase
The Service is purchased through a personalised proposal. The Agreement is concluded when the Client accepts the proposal in writing, including by email. If the proposal and these terms conflict, the proposal prevails.
The Service is intended exclusively for businesses and professionals. It is not offered to consumers.
3. Nature of the service
Vahetus is a time tracking tool designed for collaboration between companies and independent professionals. Its use does not in itself create any employment relationship, subordination or imposed working hours between the Client and its freelancers.
The Client is solely responsible for its contractual relationship with its freelancers and for complying with the employment, commercial and tax rules that apply to it. Humanos Tech does not provide legal advice through the Service.
4. Accounts and access
At the start of the Agreement, Humanos Tech sets up the Client account and one or more users with the Super Admin role. The Super Admin creates the remaining users and assigns their roles, projects and portfolios.
The Service does not allow public sign-up. The Client undertakes to keep its Users’ credentials confidential and is responsible for actions carried out with them.
5. Client obligations
- Use the Service in accordance with the law, the Agreement and the Acceptable use policy.
- Inform its Users about the processing of their personal data in the Service.
- Enter truthful information and keep its Users’ details up to date.
- Pay the agreed price within the agreed time limits.
6. Integrity of records
Once closed, a time record cannot be modified directly. Every correction is requested through the adjustment workflow, is subject to approval by the account manager or the Super Admin, and is stored as an additional adjustment, never as a rewrite of the original.
Closed records form a chain of cryptographic hashes that makes it possible to verify that they have not been altered.
7. Price and invoicing
The price, invoicing frequency and payment method are those set out in the accepted proposal. Prices exclude VAT and any other applicable taxes, which will be added in accordance with the law in force.
In the event of non-payment, Humanos Tech may charge the late payment interest provided for by Estonian law and, after prior written notice, suspend access to the Service until payment is made.
8. Availability and support
Humanos Tech takes reasonable measures to keep the Service available and secure. Occasional interruptions for maintenance may occur and will be announced with reasonable notice when they can be foreseen.
Specific service and support levels, if any, are those set out in the accepted proposal.
9. Data protection
With regard to the personal data that the Client and its Users enter into the Service, the Client acts as controller and Humanos Tech as processor, in accordance with Article 28 of the General Data Protection Regulation (GDPR). The parties sign a data processing agreement together with the Agreement.
The processing of data on this website and in the commercial relationship with the Client is described in the Privacy policy.
10. Intellectual property
The software, design, trade marks and other elements of the Service belong to Humanos Tech. For the duration of the Agreement, the Client receives a non-exclusive, non-transferable licence of use, limited to its own activity.
The data that the Client and its Users enter into the Service belong to the Client.
11. Confidentiality
Each party will keep confidential the information of the other party that it learns in connection with the Agreement, during its term and after it ends.
12. Liability
Except in cases of intent or gross negligence, the total liability of Humanos Tech under the Agreement is limited to the amount paid by the Client during the twelve months before the event giving rise to it. Humanos Tech is not liable for loss of profit or indirect damage.
Nothing in these terms limits any liability that cannot be limited under applicable law.
13. Term and termination
The Agreement has the term set out in the accepted proposal. Either party may terminate it if the other breaches its essential obligations and does not remedy the breach within thirty days of being notified in writing.
When the Agreement ends, the Client may export its reports within the agreed period. After that, the data are deleted or anonymised, except those that must be kept by law.
14. Changes to these terms
We may update these terms. We will notify Clients of relevant changes with reasonable notice. The date of the last update appears at the top of this document.
15. Governing law and jurisdiction
The Agreement is governed by Estonian law. Disputes will be submitted to Harju County Court (Harju Maakohus) in Tallinn, unless the parties agree otherwise in writing.
16. Contact
For any question about these terms, write to us at privacy@humanostech.com or use the contact form on this website.
